1. Acceptance of Terms

By accessing or using the Dominion Apex Racing website at dominionapexracing.com (the "Site"), signing up for email updates, participating in the affiliate program, or engaging with any services offered by Dominion Apex Labs, LLC ("DAR," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or any of our services.

We reserve the right to update or modify these Terms at any time. Changes become effective upon posting to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use our services, participate in the affiliate program, or engage with any digital asset features. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Accounts & Registration

Certain features of the Site require registration, including the affiliate program and email updates. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or engage in fraudulent activity.

4. Affiliate Program

The DAR Affiliate Program allows approved participants to earn rewards by referring new users to the platform. By participating, you agree to the following:

• Rewards are denominated in $DAR tokens and are subject to the token distribution schedule and terms announced by DAR
• Reward amounts, structures, and eligibility criteria may change at DAR's sole discretion with reasonable notice
• Referrals must be genuine, organic signups from real individuals — automated, fraudulent, or self-referral signups are prohibited
• DAR reserves the right to disqualify affiliates, revoke rewards, and ban accounts engaged in manipulation, botting, spam, or abuse of any kind
• Leaderboard rankings, bonus prizes, and NFT rewards are determined by DAR and are final
• The affiliate program has a defined end date after which no new referral rewards will be earned
• Affiliates are responsible for compliance with all applicable laws in their jurisdiction, including tax obligations on any rewards received

DAR makes no guarantee of income, profit, or financial return from participation in the affiliate program. Rewards are distributed at DAR's discretion and are contingent on the successful launch and operation of the platform.

5. Digital Assets & Tokens

DAR may issue digital tokens ($DAR) and non-fungible tokens (NFTs) as part of its platform. By engaging with any digital assets associated with DAR, you acknowledge and agree:

• $DAR tokens and NFTs are not securities, investments, or financial instruments — they are utility tokens and digital collectibles
• The value of digital assets is inherently volatile and may fluctuate significantly or decline to zero
• DAR makes no representations or guarantees regarding the future value, liquidity, or marketability of any digital asset
• You are solely responsible for securing your own digital wallets, private keys, and assets — DAR is not responsible for lost, stolen, or inaccessible tokens
• Participation in token-related activities is at your own risk and you should consult independent financial and legal advisors before engaging
• Token distribution schedules, allocations, and mechanisms are subject to change based on technical, regulatory, or operational requirements

Nothing on the Site or in these Terms constitutes financial advice, investment advice, or a solicitation to purchase any digital asset.

6. Intellectual Property

All content on the Site — including but not limited to logos, designs, text, graphics, trademarks, trade names, software, and code — is the property of Dominion Apex Labs, LLC and is protected by applicable intellectual property laws.

• "Dominion Apex Racing," "DAR," "OWN THE RACE," and associated logos are trademarks of Dominion Apex Labs, LLC
• You may not copy, reproduce, modify, distribute, or create derivative works from any Site content without prior written permission
• Affiliates are granted a limited, non-exclusive, revocable license to share referral links and approved marketing materials solely for the purpose of promoting DAR through the affiliate program

7. Prohibited Conduct

You agree not to engage in any of the following:

• Creating fake, duplicate, or bot-generated accounts or signups
• Manipulating referral counts, leaderboard rankings, or reward systems
• Using automated tools, scripts, or bots to interact with the Site
• Impersonating DAR, its team, or other users
• Misrepresenting the DAR project, its affiliations, or the nature of $DAR tokens
• Engaging in any activity that violates applicable local, state, national, or international law
• Attempting to gain unauthorized access to the Site, its servers, or connected systems
• Harassing, threatening, or abusing other users or DAR team members

Violation of these terms may result in immediate account suspension, reward forfeiture, and permanent ban from all DAR services.

8. Disclaimers

The Site and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. DAR does not warrant that the Site will be uninterrupted, error-free, or secure.

DAR is a project in active development. Features, timelines, products, and services described on the Site are subject to change. Roadmap items, planned launches, and projected features are forward-looking statements and are not guarantees of delivery.

DAR is not responsible for any third-party platforms, exchanges, wallets, blockchain networks, or services that you may use in connection with $DAR tokens or NFTs.

9. Limitation of Liability

To the maximum extent permitted by law, Dominion Apex Labs, LLC and its founders, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, participation in the affiliate program, or engagement with any digital assets — including but not limited to loss of profits, data, goodwill, or token value.

In no event shall DAR's total liability exceed the amount you have paid to DAR, if any, in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dominion Apex Labs, LLC from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved through binding arbitration in the State of Tennessee, unless otherwise required by applicable law.

12. Privacy & Data

By using the Site, you consent to the collection and use of certain information as described below:

• We collect email addresses, social media handles, and affiliate codes when you register
• We may collect device fingerprints and browser information for fraud prevention
• We use cookies and similar technologies for site functionality
• We do not sell your personal information to third parties
• We may share data with service providers necessary to operate the platform (e.g., email delivery, hosting, analytics)
• You may request deletion of your data by contacting us at the email below

13. Termination

We may terminate or suspend your access to the Site and services at any time, with or without cause, with or without notice. Upon termination, your right to use the Site ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
